Terms of Use

1. Acceptance of these Terms

By opening the Mini App, viewing content, or otherwise using the Services, you agree to these Terms and to our Privacy Policy, which is incorporated by reference. If you do not agree, do not use the Services.

We may revise these Terms as described in Section 11. Your continued use after revised Terms take effect constitutes acceptance of them.

2. Relationship with TikTok

The Mini App operates inside the TikTok application. Your use of TikTok itself is governed by TikTok's own terms of service and policies, which are separate from these Terms and to which we are not a party. These Terms govern only your relationship with Nebula in respect of the Services.

TikTok is not responsible for the Mini App or its content, and is not a party to these Terms. Where TikTok's rules and these Terms both apply, you must comply with both.

3. Eligibility

The Services are intended for adults. Our titles are general-entertainment dramas produced for an adult audience and may include mature themes.

• You must be at least 18 years old to make purchases through the Services.
• Users aged 13 to 17 may use the Services only with the involvement and consent of a parent or legal guardian, who agrees to be bound by these Terms on their behalf.
• The Services are not directed to and may not be used by children under 13.

By using the Services you represent that you meet these requirements and that you are not barred from receiving services under applicable U.S. law, including trade sanctions and export control laws.

4. Licence to use the Services

Subject to these Terms, Nebula grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable licence to access and stream our content through the Mini App for your own private, non-commercial entertainment.

This licence does not transfer ownership of anything. All rights not expressly granted are reserved.

5. Paid content and virtual items

• How purchases work. Some episodes or titles may require payment or the use of virtual items to unlock. Purchases are processed by TikTok or its designated payment providers. We do not collect or store your payment card details. Your payment is also subject to the payment provider's terms.
• Prices and taxes. Prices are shown before you confirm a purchase and are stated in U.S. dollars unless otherwise indicated. Prices may change prospectively; changes do not affect purchases already completed. You are responsible for any applicable sales or use taxes not collected at checkout.
• Nature of virtual items. Virtual coins, tokens, unlocks and similar items are a limited licence to access content within the Services. They are not your property, have no monetary value outside the Services, are not redeemable for cash, and may not be sold, transferred, gifted outside features we provide, or exchanged.
• Availability of unlocked content. We aim to keep content you have unlocked available to you for as long as we hold the necessary distribution rights. Licensing terms are time-limited and titles may be withdrawn. Where a title you have paid for is withdrawn before you have had a reasonable opportunity to view it, contact us and we will provide a credit or refund.
• Subscriptions. If we offer a recurring subscription, its billing period, renewal terms and cancellation method will be disclosed at the point of purchase. Recurring subscriptions renew automatically until cancelled, and you may cancel at any time effective at the end of the then-current period.

6. Refunds

Because purchases are processed by TikTok, refund requests are handled in the first instance under TikTok's refund process and the rules of the applicable app store. We will cooperate with those processes.

Nothing in these Terms limits any non-waivable refund or cancellation right you have under applicable U.S. federal or state consumer protection law. If you believe you are entitled to a refund and cannot obtain one through the platform, contact us at the address in Section 19 and we will review your request in good faith.

7. Our content and intellectual property

All content made available through the Services — including dramas, episodes, scripts, characters, artwork, stills, music, voice recordings, subtitles, trademarks, logos, software and page design — is owned by Nebula, its affiliates or its licensors, and is protected by copyright, trademark and other laws. Titles shown as portfolio examples remain the property of their respective rights holders.

You may not, and may not permit anyone else to:

• copy, download, record, capture, rip, or otherwise reproduce content except for the transient copies your device makes to stream it;
• redistribute, publicly perform, broadcast, resell, sublicense or make content available to others;
• create derivative works, including re-cuts, compilations, translations or dubbed versions;
• remove, obscure or circumvent any watermark, attribution or technical protection measure; or
• use our names, logos or titles to imply an endorsement or partnership that does not exist.

Circumventing technical protection measures may also violate the Digital Millennium Copyright Act.

8. Prohibited conduct

You agree not to:

• use the Services for any unlawful purpose or in violation of these Terms or TikTok's rules;
• interfere with, disrupt, overload or attempt to gain unauthorised access to the Services or the systems serving them;
• use bots, scrapers, automated viewing, emulators or other automated means to access the Services, inflate view counts, or harvest content or data;
• reverse engineer, decompile or disassemble any part of the Services, except where that restriction is prohibited by law;
• misrepresent your identity or affiliation, or use another person's account or payment method without authorisation;
• engage in fraudulent transactions, payment fraud, or abuse of refunds or promotional offers.

9. Copyright complaints

We respect the intellectual property rights of others. If you believe content available through the Services infringes your copyright, send a written notice to the contact address in Section 19 including:

1. your physical or electronic signature;
2. identification of the copyrighted work claimed to be infringed;
3. identification of the material claimed to be infringing, with enough detail for us to locate it (title and episode);
4. your contact details;
5. a statement that you have a good faith belief the use is not authorised by the rights holder, its agent or the law; and
6. a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorised to act on their behalf.

We will investigate valid notices and remove or disable access to infringing material where appropriate. We may terminate access for users who repeatedly infringe.

10. Feedback

If you send us suggestions, ideas or feedback about the Services, you grant us a perpetual, irrevocable, worldwide, royalty-free licence to use them without restriction or compensation. We are under no obligation to keep feedback confidential.

11. Availability and changes

We may add, modify, suspend or discontinue any part of the Services, including individual titles, at any time. Content catalogues change as licensing rights change. We do not guarantee that any particular title will remain available.

We may revise these Terms. For material changes we will provide notice within the Mini App before they take effect, and the "Last updated" date above will change. Changes do not apply retroactively to disputes arising before the effective date of the revision.

12. Suspension and termination

You may stop using the Services at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if we suspect fraud or abuse, or if required by law or by TikTok.

If we terminate your access for reasons other than your breach, we will refund the value of any unused virtual items you purchased. Sections 7, 10 and 13 through 18 survive termination.

13. Disclaimers

THE SERVICES AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE OR ERROR-FREE, OR THAT DEFECTS WILL BE CORRECTED.

Some states do not allow the exclusion of certain warranties, so some of the above may not apply to you. In that case such warranties are limited to the minimum period permitted by law.

14. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, NEBULA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AFFILIATES AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA OR GOODWILL, ARISING OUT OF OR RELATING TO THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT OR ANY OTHER LEGAL THEORY, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY FOR ALL CLAIMS RELATING TO THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE TWELVE MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

These limitations do not apply to liability that cannot be excluded or limited under applicable law, including liability for fraud, gross negligence, or death or personal injury caused by negligence. Some states do not allow certain limitations, so some of the above may not apply to you.

15. Indemnification

You agree to indemnify and hold harmless Nebula and its affiliates from any claims, damages, losses and reasonable legal fees arising out of your misuse of the Services, your breach of these Terms, or your violation of any law or third-party right.

16. Dispute resolution

We would rather resolve a problem directly than litigate it. The following steps apply to any dispute arising out of or relating to these Terms or the Services.

• Informal resolution first. Before filing a claim, please contact us at the address in Section 19 describing the dispute and the relief you seek, and give us 60 days to resolve it informally. We will do the same before bringing a claim against you. Most issues can be settled at this stage.
• Courts. If the dispute is not resolved informally, it will be decided by the courts identified in Section 17.
• Small claims. Either party may bring an individual claim in small claims court in their own jurisdiction if the claim qualifies.
• Injunctive relief. Either party may seek injunctive or other equitable relief in court at any time to protect its intellectual property rights or to stop unauthorised use of the Services, without first completing the informal resolution step.
• Time limit. Any claim relating to the Services must be brought within the period allowed by applicable law.

Nothing in this section prevents you from bringing a complaint to a government agency, including your state Attorney General or a consumer protection authority.

17. Governing law

These Terms and any dispute arising from them are governed by the laws of the State of Colorado and applicable U.S. federal law, without regard to conflict-of-laws rules. Subject to the small claims option in Section 16, the state and federal courts located in Denver County, Colorado have exclusive jurisdiction over any dispute, and you consent to personal jurisdiction there. Nothing in this section deprives you of the protection of mandatory consumer-protection laws of your state of residence.

18. General terms

• Entire agreement. These Terms and the Privacy Policy are the entire agreement between you and Nebula regarding the Services.
• Severability. If any provision is held unenforceable, the remainder stays in effect and the unenforceable provision is modified to the minimum extent necessary.
• No waiver. Our failure to enforce a provision is not a waiver of it.
• Assignment. You may not assign these Terms. We may assign them in connection with a merger, acquisition or sale of assets.
• Force majeure. Neither party is liable for delays caused by events beyond its reasonable control.
• No third-party beneficiaries. Except that TikTok is an intended third-party beneficiary of Section 2.
